BUSINESS HOURS

Business Hours/Days. “Regular Business Hours” are generally from Monday - Friday 8:00 a.m. to 6:00 pm. We are closed on all Public Holidays. “Regular Business Days” are all weekdays, except holidays and up to ten (10) other days of which we will inform you. Those with memberships that DO NOT include 24/7 access are expected to comply with these hours.

FEES

a) Set-up and Commitment Fees. You will be obligated to pay the $45.00 nonrefundable set-up and commitment fee upon sign-up.

b) Security Deposit. When applicable, the Security Deposit is generally equal to your monthly membership fee. The Security Deposit will be returned to you no later than thirty (30) days following the termination of you membership.

c) Membership Fee. Membership fees will be automatically billed and collected electronically on the 1st of every month. For Agreements beginning outside of this period, fees will be prorated to the 1st of the month. Your membership will not activate until you have completed the PAD form.

d) Overage Fees. This membership entitles the Members to a certain number of credits for conference room use on the Membership Details Form. If the Members exceed such allocated amounts, you will be responsible to pay fees for such overages.

e) Form of Payment. We accept payments for all amounts specified in this Agreement by pre-authorized payment from your bank account.

f) Not Sufficient Funds. It is your responsibiltiy for you to ensure the funds are in your account for withdrawal on the 1st of each month. Should there be insufficient funds, a charge of $50 will be charged to your account.

g) Changes to Membership and Overage Fees. The membership fee is subject to annual increases every year during the term of this Agreement. Fees for overages for printouts/ copies and conference room credits are subject to increase from time to time. We will notify you at least sixty (60) days prior to these increases.

h) No Refunds. Except as provided for herein, there are no refunds of any fees or other amounts paid by you or your Members in connection with the Services.

TERM AND TERMINATION

a) Term. Upon approval of an application form, your membership will be effective when the Membership Agreement is accepted and signed and payment is made.

b) Capacity. We reserve the right to reject any application should the space not be conducive to the applicant’s needs or be readily available.

c) Termination After the Start Date by You. You may terminate this Agreement by delivering to us the KWENCH Exit Form, subject to the notice periods set out in the table under this Section 3(d) ( “Notice Given”). The exit form needs to be filled out in its entirety and signed by the Primary Member. The exit form must be delivered to KWENCH no later than the time specified in the Notice Table. The termination will not be effective until the last business day of the applicable month or months following your delivery to us of the exit form.

You will not be entitled proration with respect to the last month's membership fee.

3 (d) Notice Given:

Social Membership (House, Hustle, Club) - 1 month

Dedicated Membership (Resident, Resident +) - 2 months

Corporate Membership (House, Hustle, Club) - 2 months

Contracts will renew automatically at the end of each year. Private Offices must give notice this many months notice prior to the end of their contract:

Private Office (1-8 Person) - 3 months

Private Office (10-30 Person) - 4 months

Private Office (30+ Person) - 6 months

d) Termination After the Start Date by Us. We may immediately terminate your membership upon breach of the Membership Agreement. You will remain liable for past due amounts and we will exercise our rights to collect due payment.

HOUSE RULES

In addition to any rules, policies and/or procedures that are specific to a Premises used by you:

a) You acknowledge and agree that: i) acceptance of membership applications are at the discretion of KWENCH management and are subject to a number of factors including, but not limited to, availability, capacity and suitability. ii) you will attend a brief orientation on your first day at KWENCH and ask for clarification should anything be unclear; ii) for security reasons, we may, but have no obligation to regularly record certain areas in the Premises via video; iv) you shall be solely and fully responsible for ensuring that alcohol is consumed responsibly by yourself and your guests and that no alcohol is consumed by any of your guests who is younger than the legal age for consuming alcohol in the province of British Columbia; v) you shall not smoke on any part of the KWENCH premises (including nicotine or electronic or any other form); vi) common spaces are to be enjoyed by all our member companies, members and guests unless otherwise instructed by us, and are for temporary use and not as a place for continuous, everyday work; vii) KWENCH has zero tolerance for bullying, discrimination, racism, profiling or harassment; such behaviours will be reported and addressed accordingly. viii) your computer, tablet, mobile devices and other electronic equipment must be (a) kept up-to-date with the latest software updates provided by the software vendor and (b) kept clean of any malware, viruses, spyware, worms, Trojans, or anything that is designed to perform malicious, hostile and/or intrusive operations. ix) All pets must be approved by KWENCH on a case by case basis. All pets should remain inside the Office Space unless accompanied by a Member. If you bring a pet into the building, you will be responsible for any injury and/or damage caused by this pet to other members or guests or to the property of the foregoing. x) You are responsible to maintain, at your own expense, personal property insurance and commercial general liability insurance covering you for property loss and damage, injury to the Members and the Members’ guests and prevention of or denial of use of or access to, all or part of the Premises in form and amount appropriate to your business. We and the landlord of the Premises shall be named as additional insureds on any such policies of insurance. You shall provide proof of insurance upon our request.
